Everstone Partner Portal: Terms of Use
These terms apply to anyone who creates an account on the Everstone Partner Portal ("the portal"), run by Everstone UPVC Windows & Doors, 5/203 Laxmi Nagar Colony, Gundlapochampally, Hyderabad 500100 ("Everstone", "we"). By ticking the box at sign-up you ("the user", "you") agree to them. If you do not agree, do not create an account.
1. What the portal is
The portal is a software tool that helps users prepare quotations and warranty cards for their own customers. Using it does not make you an employee, agent, franchisee or legal representative of Everstone, unless you are Everstone staff under a separate employment agreement.
2. Accounts, approval and activation
- You must give true, complete and current details: your name, company name, address, phone, email, logo, and GST number if you have one.
- After you verify your email, your request goes to Everstone. Your account is switched on only when Everstone approves it. Everstone may approve or refuse any request without giving a reason.
- Everstone may suspend or delete any account at any time, including for non-payment of the subscription or a breach of these terms.
- You are responsible for keeping your password and recovery code secret, and for everything done from your account.
3. Monthly subscription
- Creating quotations and warranty cards on the portal needs an active monthly subscription.
- Everstone tells you the subscription fee and how to pay it when it reviews your account. Fees may change with 30 days' notice.
- The subscription is paid in advance for each month. Fees already paid are not refundable, including for a part month or if your account is suspended for breaching these terms.
- If the subscription is not paid on time, Everstone may pause your account until it is paid. Your documents stay stored in encrypted form while the account is paused.
4. Your privacy: Everstone does not see your quotations
- Everstone will not access your quotations, warranty cards or your customers' details. Only the person who owns the account can see them.
- Your documents are encrypted. Customer names, phone numbers, addresses, items, prices per item, notes and terms are stored encrypted with a key that belongs to your account. That key is locked with your password, and a copy is locked with your recovery code. Everstone does not store your password or your key in readable form, and has no way to open your documents.
- What Everstone can see: your account and company details (name, company, address, phone, email, GST, logo), the number of quotations and warranty cards you create, their dates and status, and the total value of your quotations. Everstone uses this only to manage accounts, subscriptions and the portal.
- A document can be read by anyone you send its share link to. Share links only to the right people.
- If you forget your password, only your recovery code can unlock your documents again. If you lose both, nobody, including Everstone, can recover your documents. Keep the recovery code safe and keep your own PDF copies of important documents.
5. You are responsible for your documents
- Every quotation and warranty card you create is issued by you, in your own name, to your own customer. You alone are responsible for its contents: sizes, prices, discounts, taxes (including GST), terms, delivery dates and warranty promises.
- Everstone is not a party to any agreement, sale, installation or warranty between you and your customer, and is not liable for any promise, price, delay, defect, dispute or claim arising from documents you create.
- Check every document before you share it. The portal's calculations are a help, not a guarantee.
- You must follow all laws that apply to your business, including GST, consumer protection and invoicing rules, and you must have your customers' permission before entering their personal details.
6. Use of Everstone's name
- Dealers and partners must not present themselves as Everstone, or as authorised by Everstone, unless Everstone has agreed to this in writing.
- Dealers and partners must not issue warranties in Everstone's name. A warranty card a dealer creates is that dealer's own warranty.
- Only Everstone staff may create documents that carry Everstone's name and details, and only for genuine Everstone orders.
7. Your logo and content
You confirm that you own or have permission to use the logo and any content you upload. You will not upload anything unlawful, misleading, offensive, or that belongs to someone else.
8. Acceptable use
You must not misuse the portal: no attempts to access other users' data, to break or overload the system, to copy it, or to use it for fraud, false documents or anything illegal. Breaking this rule leads to immediate suspension without refund and may be reported to the authorities.
9. Your account data
Everstone stores your account details with your consent under the Digital Personal Data Protection Act, 2023, to run the portal. You may ask Everstone to correct or delete your account by writing to contract@everstoneupvc.in. Deleting your account permanently deletes your encrypted documents.
10. No warranty for the portal
The portal is provided "as is" and "as available". Everstone does not promise that it will always be available or error-free, or that data will never be lost. Keep your own copies (print or PDF) of important documents.
11. Limitation of liability
To the fullest extent allowed by law, Everstone and its owners, staff and partners are not liable for any direct, indirect, incidental, special or consequential loss, including loss of profit, business, data or reputation, arising from your use of the portal or from documents you create with it. Where liability cannot be excluded, Everstone's total liability is limited to the subscription fees you paid in the last month.
12. Indemnity
You agree to protect and compensate Everstone, its owners and staff against any claim, demand, loss, penalty or legal cost brought by your customers or any third party that arises from your documents, your business, your breach of these terms, or your breach of any law.
13. Changes and ending the account
Everstone may change these terms or the portal at any time. Continued use after a change means you accept the new terms. Everstone may end access to the portal for any user, or close the portal with 30 days' notice. Sections 4, 5, 6, 11, 12 and 14 continue to apply after your account ends.
14. Law and courts
These terms are governed by the laws of India. Any dispute is subject to the exclusive jurisdiction of the courts at Hyderabad, Telangana. Before going to court, both sides will first try to settle the dispute through good-faith discussion for 30 days.
